3. Service Description and Scope

3.1 Legal Services Offered

Lexfield provides professional legal services in Thailand, including but not limited to legal consultations, contract review and advisory, business formation assistance, and related legal matters. Specific services and their scope will be defined in individual engagement agreements.

3.2 Service Availability

Services are provided during regular business hours as posted on our website. Emergency consultations may be available by special arrangement. We reserve the right to modify service offerings, availability, or pricing at any time with appropriate notice to existing clients.

3.3 Geographic Limitations

Our attorneys are licensed to practice law in Thailand. Services are provided under Thai law and regulations. We do not provide legal advice regarding the laws of other jurisdictions unless explicitly agreed in writing.

4. Client Responsibilities and Conduct

4.1 Age and Capacity

You must be at least 18 years of age and have the legal capacity to enter into binding agreements to use our Services. By engaging our services, you represent and warrant that you meet these requirements.

4.2 Accurate Information

You agree to provide accurate, complete, and current information when engaging our services. You must promptly notify us of any changes to information you have provided. Failure to provide accurate information may affect the quality of legal advice and services provided.

4.3 Cooperation

You agree to cooperate with Lexfield attorneys and staff, respond to reasonable requests for information and documentation, and participate actively in your legal matter as required. Timely cooperation is essential for effective legal representation.

4.4 Prohibited Uses

You agree not to:

  • Provide false or misleading information
  • Use services for illegal purposes or to further illegal activities
  • Harass, abuse, or threaten attorneys or staff
  • Attempt to gain unauthorized access to systems or data
  • Violate any applicable laws or regulations
  • Interfere with other clients' use of services

5. Attorney-Client Relationship

5.1 Formation of Relationship

An attorney-client relationship is formed only upon mutual agreement and execution of an engagement letter or service agreement. Initial consultations or website communications do not automatically create an attorney-client relationship.

5.2 Scope of Representation

The scope of legal representation will be defined in your engagement agreement. We represent you only for the specific matters outlined in that agreement unless we agree in writing to expand the scope.

5.3 Conflicts of Interest

We conduct conflict checks before accepting new clients. If a conflict of interest arises during representation, we will notify you promptly and discuss options, which may include withdrawal from representation.

5.4 Confidentiality

Communications between you and our attorneys are protected by attorney-client privilege under Thai law. We maintain strict confidentiality of client information as required by professional ethics rules and as described in our Privacy Policy.

6. Fees, Payment Terms, and Billing

6.1 Fee Structure

Service fees are outlined on our website and in engagement agreements. Fees may be structured as fixed fees for specific services, hourly rates, or other arrangements as agreed. All fees are stated in Thai Baht (฿) unless otherwise specified.

6.2 Payment Terms

Payment is typically required before services commence unless alternative arrangements are agreed in writing. For ongoing matters, we may require retainer payments or periodic invoicing. Payment methods include bank transfer, credit card, or cash.

6.3 Additional Costs

Fees do not include out-of-pocket expenses such as government filing fees, court costs, expert witness fees, or other third-party charges unless specifically stated. You will be responsible for these costs, which will be billed separately or deducted from retainer funds.

6.4 Late Payment

Late payments may incur interest charges at the rate permitted by Thai law. We reserve the right to suspend or terminate services for non-payment after providing reasonable notice.

6.5 Refund Policy

Refunds for unused services will be considered on a case-by-case basis. Fixed-fee services are generally non-refundable once work has commenced. For retainer arrangements, unused funds may be refunded upon termination of representation, less any earned fees and expenses.

7. Intellectual Property Rights

7.1 Lexfield Property

All content on our website, including text, graphics, logos, images, and software, is the property of Lexfield or its licensors and is protected by Thai and international copyright and trademark laws. You may not reproduce, distribute, or create derivative works without written permission.

7.2 Client Documents

Documents we prepare for you become your property upon payment of fees. However, we retain the right to maintain copies in our files as required by professional obligations. You grant us a non-exclusive license to use your documents for our internal purposes.

7.3 Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use our website for lawful purposes related to engaging our services. This license does not include rights to modify, distribute, or commercially exploit website content.

8. Disclaimers and Limitations

8.1 No Guarantees

While we strive to provide quality legal services, we cannot and do not guarantee specific outcomes or results. Legal matters involve inherent uncertainties, and outcomes depend on many factors beyond our control, including facts, evidence, applicable law, and decisions by courts or other parties.

8.2 Website Availability

We shall not be liable for indirect, incidental, consequential, or punitive damages, including lost profits, lost business opportunities, or damage to reputation, even if we have been advised of the possibility of such damages.

9.3 Professional Insurance

Lexfield maintains professional liability insurance as required by the Thai Bar Association. Claims related to professional negligence may be subject to insurance policy terms and conditions.

10. Indemnification

You agree to indemnify, defend, and hold harmless Lexfield, its attorneys, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:

  • Your violation of these Terms
  • Your misuse of our Services or website
  • Your violation of any law or rights of third parties
  • False or misleading information you provide
  • Your illegal or unauthorized activities

11. Termination of Services

11.1 Termination by Client

You may terminate our services at any time by providing written notice. You remain responsible for fees earned and expenses incurred up to the termination date.

11.2 Termination by Lexfield

We may terminate representation if:

  • You fail to pay fees or cooperate as required
  • Continuing representation would violate professional ethics rules
  • A conflict of interest arises that cannot be resolved
  • You engage in prohibited conduct as outlined in these Terms
  • The attorney-client relationship has irretrievably broken down

We will provide reasonable notice of termination and assist with transition to new counsel where appropriate.

11.3 Effect of Termination

Upon termination, we will return your documents and property as required by professional rules. You remain responsible for all outstanding fees and expenses. Confidentiality obligations survive termination.

12. Dispute Resolution and Governing Law

12.1 Governing Law

These Terms are governed by the laws of Thailand without regard to conflict of law principles. Any legal action or proceeding arising from these Terms shall be brought exclusively in the courts of Bangkok, Thailand.

12.2 Informal Resolution

Before initiating formal proceedings, parties agree to attempt good faith resolution of disputes through direct communication. Either party may request a meeting to discuss and resolve concerns.

12.3 Mediation

If informal resolution fails, parties agree to attempt mediation before a mutually acceptable mediator before pursuing litigation. Mediation costs will be shared equally unless otherwise agreed.

13. General Provisions

13.1 Entire Agreement

These Terms, together with any engagement letter or service agreement, constitute the entire agreement between you and Lexfield regarding use of our Services and supersede all prior understandings.

13.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

13.3 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

13.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets with notice to you.

13.5 Notices

All notices under these Terms must be in writing and delivered to the contact information provided below. Notices are deemed given when delivered in person, sent by confirmed email, or three days after mailing.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting updated Terms on our website with a new "Last Updated" date. For existing clients, changes will not affect services already under agreement unless mutually agreed.

Your continued use of our website or Services after changes take effect constitutes acceptance of the updated Terms. We encourage you to review these Terms periodically.
